Stock Option Plans

Our corporate philosophy "entrepreneur in the enterprise" implies not only that our employees are driven by a spirit of entrepreneurial responsibility but that they also have a stake in the company's performance. The overall remuneration package for Group executives and the members of the Management Board has been linked to the performance of the share price through stock option plans.


Fresenius already introduced a stock option plan in 1998. This first stock option plan (Stock Option Plan 1998) ran for five years. Click here for details of the terms of the Stock Option Plan 1998.

On May 28, 2003 the Annual General Meeting approved a new stock option plan (Stock Option Plan 2003) which is based on the issuance of convertible bonds. Click here for details of the Stock Option Plan 2003.

On May 21, 2008 the Annual General Meeting approved a new stock option plan (Stock Option Plan 2008) which is based on the issuance ordinary shares and preference shares. Details of the Stock Option Plan 2008 are included in the agenda items 8 and 9.
